NOTICE OF MANDATORY ARBITRATION PROVISION:

This Agreement contains provisions that govern how claims you and ABMP have against each other are resolved (see sections entitled, “Limitation of Liability”; “Arbitration Agreement”; and “Location, Governing Law, and Jurisdiction” below).

It also contains an agreement to arbitrate, which will, with limited exception, require you to submit claims you have against us to binding and final arbitration, unless you opt-out of the agreement to arbitrate in accordance with these Terms of Use. Unless you opt-out: (i) you will only be permitted to pursue claims against ABMP on an individual basis, not as part of any class or representative action or proceeding, and (ii) you will be permitted only to seek relief (including without limitation monetary, injunctive, and declaratory relief) on an individual basis.

 

The following terms and conditions (together with any documents referred to in them) (collectively, these “Terms of Use”) apply to your use of any and all websites owned and operated by Professional Assist Corporation, DBA Associated Bodywork & Massage Professionals, and including subsidiaries Associated Skincare Professionals, Associated Hair Professionals, and Associated Nail Professionals (collectively “ABMP,” “we,” “our,” “us”). By using these websites, you accept and agree to be bound by these Terms of Use and our Privacy Policy incorporated herein by reference. Unless indicated to the contrary, you may access, copy, download and print the content available on this website (including, without limitation, text, design, graphics, logos, icons, images, audio clips, downloads, interfaces, code and software) for your personal, non-commercial use, provided you do not modify or delete any copyright, trademark or other proprietary notices that appear in the content. Except as otherwise provided in these Terms of Use, no part of any content on this website may be copied, downloaded or stored in a retrieval system for any other purpose, nor may it be redistributed for any purpose, without the express written permission of ABMP. You understand that ABMP may discontinue, change, or restrict your use of this website for any reason without notice. You agree not to:

Any content and/or opinions posted to the website, and all articles and responses to questions and other content, other than the content provided by ABMP, are solely the opinions and the responsibility of the person or entity submitting them and do not necessarily reflect the opinion of ABMP. ABMP is not responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the website.

ABMP has the right to remove or refuse to post any user content for any or no reason in our sole discretion. However, ABMP cannot review all material before it is posted on the website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party.

Intellectual Property

This website and its content are protected by copyright, trademark and other applicable United States and international laws. Except for your personal, non-commercial use as authorized above, you may not modify, reproduce or distribute the design or layout of the website or any content available on or through the website without ABMP’s written permission.

The trademarks, logos, and service marks (collectively, the “Trademarks”) displayed on this website are registered and unregistered Trademarks of ABMP and its licensors. Nothing contained in this website should be construed as granting, by implication, estoppel, or otherwise, any license or right in and to the Trademarks. Unauthorized use of any Trademark may be a violation of federal and state trademark laws.

Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. PROMOTIONS

In addition to these Terms of Use, sweepstakes, contests, scholarships, games, or other promotions (collectively, “Promotions”) made available by us may have specific rules that are different from these Terms of Use. Indemnification

You agree to defend, indemnify and hold harmless ABMP, its officers, directors, employees, agents, licensors and content providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) resulting from your violation of these Terms of Use or your use of the website, including, without limitation, any use of the website’s content and services other than as expressly authorized in these Terms of Use. We reserve the right, at our own expense, to assume the exclusive defense and control of any action subject to indemnification by you, and in such event you agree to cooperate with us in defending such action. Your indemnification, defense, and hold harmless obligations will survive the termination of your use of the website and/or these Terms of Use.

Arbitration AGREEMENT

PLEASE READ THIS SECTION CAREFULLY.  IT AFFECTS YOUR RIGHTS AND IMPACTS THE WAY THAT YOU AND WE BRING CLAIMS AGAINST EACH OTHER AND HOW THOSE CLAIMS ARE DECIDED.

Agreement to Arbitrate

You and ABMP agree that any and all disputes or claims (“Disputes”) relating in any way to ABMP’s website or products or services or from any advertising for any such product or services, including any Dispute regarding the applicability, enforceability, or formation of these Terms of Use will be resolved exclusively through final and binding arbitration through the American Arbitration Association (“AAA”), rather than in court, as described in this “Arbitration Agreement” section (“Agreement to Arbitrate”). This Agreement to Arbitrate is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) (“FAA”), including its procedural provisions, in all respects.

Scope of Arbitration

This Agreement to Arbitrate is intended to be broadly interpreted and includes any Dispute between you and ABMP regarding any aspect of your relationship with us or any conduct or failure to act on our part, including claims based on breach of contract, tort (for example, a negligence claim), violation of law, or any claims based on any other theory, and including those based on events that occurred prior to the “Last Modified” date of these Terms of Use. All challenges to the interpretation or enforceability of any provision of these Terms of Use, including questions of arbitrability, shall be brought before the arbitrator, and the arbitrator shall rule on all questions regarding the interpretation and enforceability of these Terms of Use.

IP Exception

Notwithstanding anything to the contrary in these Terms or Use, any claim for a Dispute regarding the validity, protection or enforcement of a party’s intellectual property rights (such as its patent, copyright, trademark, trade secret, or moral rights, but not including its privacy or publicity rights) must be brought in court, subject to the section of these Terms of Use entitled, “Location, Governing Law and Jurisdiction.”

Prohibition of Class Actions and Non-Individualized Relief

Any arbitration will be conducted by the parties in their individual capacities only and not as a class action or other representative action. Unless both you and we agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s claims, and may not otherwise preside over any form of consolidated, representative, class, or private attorney general action or proceeding. Also, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief, and only to the extent necessary to provide relief necessitated by that party’s individual claim(s).

Arbitration Rules

The arbitration will be administered by AAA and governed by the AAA’s then-current Consumer Arbitration Rules (“AAA Rules”), as modified by the terms of the Agreement. The AAA Rules are available online at http://www.adr.org or by calling the AAA at 1-800-778-7879. In the event of any conflict between the terms of these Terms of Use and the AAA Rules, the terms of these Terms of Use will apply.

Procedure for Arbitration

Neutral Arbitrator

Arbitration uses a neutral arbitrator instead of a judge and jury. An arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow the terms of these Terms of Use as a court would. Arbitration procedures allow for more limited discovery, and court review of an arbitration award is limited.

Demand for Arbitration

A party who intends to arbitrate a Dispute (“Claimant”) must first send to the other party (“Respondent”) a written notice, entitled “Demand for Arbitration” (“Demand”). The Demand must: (i) briefly explain the Dispute; (ii) provide the Claimant’s name and address, the address of the Claimant’s representative (if the Claimant has one), and the Respondent’s name and address (for ABMP, see below); (iii) specify the amount of money in dispute, if applicable; (iv) if the Claimant is requesting an in-person hearing, identify the requested location for the hearing; and (v) include a statement of what the Claimant wants.

If you are the Claimant, then the Demand must be sent to ABMP and addressed to:

Such ABMP address is referred to as “Notice Address”.

The Claimant must send one copy of the Demand to AAA at the same time the Claimant sends it to the Respondent. When sending a copy of the Demand to AAA, the Claimant must also include a copy of this arbitration agreement and any amendments to it and the then-current filing fee required by the AAA. The Demand must be sent to either the following address or filed with the AAA online using AAA WebFile: https://www.adr.org:

Filing, Administration and Arbitrator Fees

Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in these Terms of Use. Each party will bear its own fees in connection with the arbitration, including the expense of its own counsel, experts, witnesses, and preparation and presentation of evidence at any arbitration hearing.

Final Judgement

The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity, and must enforce the same limitations stated in these Terms of Use as a court would. The arbitrator will issue an award decision in writing but will not provide an explanation for the award unless you or ABMP requests one. The arbitrator’s award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Confidentiality

Any arbitration will be confidential. Neither you, ABMP, the AAA, nor the arbitrator may disclose the existence, content (including any oral or written submissions), or results of any arbitration, except as may be required by applicable law or for purposes of enforcing or challenging of the arbitration award.

Amendments to Agreement to Arbitrate

Notwithstanding any provision in this Agreement to the contrary, you and we agree that if we make any amendment to this Agreement to Arbitrate (other than an amendment to any Notice Address or site link provided herein), that amendment shall not apply to any claim of a Dispute that was filed in a legal proceeding against ABMP prior to the effective date of the amendment. The amendment shall apply to all other Disputes governed by the Agreement to Arbitrate that have arisen or may arise between you and ABMP. We will notify you of amendments to this Agreement to Arbitrate by posting the amended terms on https://www.abmp.com/terms-useand/or by providing notice to you by email (if you have provided ABMP with an email address) at least 30 days before the effective date of the amendments. If you do not agree to these amended terms, you may opt-out within 30 days after notice of the amendment following the instructions above and then you will not be bound by the amended terms.

Opt-Out Procedure

You may opt out of this Agreement to Arbitrate by providing written notice to ABMP at the Notice Address, above, no later than 30 days from the date that you accept these Terms of Use for the first time. Your written notification to ABMP must include your name, mailing address, e-mail address, phone number and a clear statement that you do not wish to resolve disputes with ABMP through arbitration. If you opt out of the Agreement to Arbitrate, all other provisions of these Terms of Use will continue to apply.

Location, Governing Law and Jurisdiction

ABMP is based in the state of Colorado in the United States. ABMP makes no representation that the information in the website is appropriate or available for use in other locations, and access to this website from territories where the content of this website may be illegal is prohibited. Those who choose to access this website from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

Without limiting the terms of the Agreement to Arbitrate, these Terms of Use and any dispute or claim arising out of or related to these Terms of Use, their subject matter, or their formation (in each case, including non-contractual disputes or claims) that proceeds in a court shall be governed by and construed in accordance with the laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of or related to these Terms of Use or the website shall be instituted exclusively in the federal or state courts located in Denver, Colorado. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Violations

ABMP reserves the right to seek all remedies available at law and in equity for violations of these Terms of Use, including without limitation the right to block access from a particular Internet address to the website and to refer any illegal or unauthorized use of the website to law enforcement.

Waiver and Severability

No waiver of these Terms of Use by ABMP shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of ABMP to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use, including our Privacy Policy and any separate terms to which you agree when using this website constitute the sole and entire agreement between you and ABMP with respect to the subject matter hereof, and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

SMS TERMS OF SERVICE

Overview of SMS Terms

We use text message (“SMS”) or phone call communications (the “Messaging Services”) to contact you for the purposes described in the Types of Communications paragraph below. Your use of the Messaging Services constitutes your agreement to these terms and conditions (“SMS Terms”).

Modifications of the Services

ABMP may modify or cancel the Messaging Services or any of their features without notice. We may also change the telephone number or short code we use to operate the Messaging Services.

Types of Communications

SMS and phone calls may be sent using an automatic telephone dialing system or other technology. This is the case even if your phone number is registered on any state or federal Do Not Call list.  Message frequencies may vary.

We categorize our messages into two types:

1.           Transactional Messages

Transactional Messages are messages sent for transactional, operational, or informational purposes, such as confirmations of your selections, notifications concerning your membership status, and billing notifications. We may communicate Transactional Messages via SMS or phone call.

2.           Marketing/Promotional Messages

If you Opt In (as described below), you have consented to receiving marketing and promotional messages from ABMP, such as promotions for events, education opportunities, member benefits, or other special offers.

User Opt-In

Transactional Messages

On pages of our website or initial text request, we will give you the option to consent to receiving Transactional Messages from ABMP. If you agree to receive Transactional Messages from ABMP, then you must check the Opt In To Receive Text Messaging button or box by clicking the applicable button or box, which will provide confirmation by changing text and color or checkmark in the box.

2.           Marketing/Promotional Messages

On pages of our website or initial text request, we will give you the option to consent to receiving Marketing/Promotional Messages from ABMP. If you agree to receive Marketing/Promotional Messages from ABMP, then you must check the Opt In To Receive Text Messaging button or checkbox, which will provide confirmation by changing text and color or show checkmark in the box.

User Opt-Out of Text Messages

You can opt out of receiving any SMS at any time by replying “STOP to the respective text messages (“Opt-Out Command”) or by calling 800-862-7724. When we receive your Opt-Out Command, we may respond with a confirmatory text message that will confirm receipt of your cancellation request as well as indicate that you will no longer receive SMS from us.

Our mobile messaging service providers may not recognize requests that materially modify the foregoing Opt-Out Command, and you agree that ABMP and our mobile messaging service providers will not be liable for failing to honor requests that do not comply with the Opt-Out Commands listed above. In addition, if ABMP notifies you that the telephone number or short code was changed, then you acknowledge that any requests sent to a telephone number or short code that has been changed may not be received by us and we will not be responsible for failing to honor a request sent to a telephone number or short code that has been changed.

If you have any questions about an SMS you have received from us, you may respond to such SMS message with the word “HELP”. For additional assistance, please call 800-862-7724.By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Associated Bodywork & Massage Professionals. This includes SMS messages for account notifications, membership renewal reminders, and billing notifications. Message frequency varies, Message and data rates apply.
